Job Title: Senior M&A Counsel

Location: Houston, TX (5 days on-site)

Compensation: $200,000-$250,000 + 30% STI (annual bonus)+ LTI (equity)


Duties and Responsibilities:

  • Lead all legal aspects of M&A and strategic transactions (acquisitions, divestitures, joint ventures, and investments), from diligence through signing and closing.
  • Plan and manage legal due diligence, including issue-spotting, risk quantification, and escalation of material findings to business leaders.
  • Advise senior leadership and cross-functional teams (Finance, Tax, HR, Operations, HSE, IT) on deal structure, risk allocation, and execution strategy.
  • Manage and oversee outside counsel and other advisors as needed, including scoping workstreams, controlling budgets, and ensuring timely, high-quality deliverables.
  • Support corporate financing and capital markets activities in connection with transactions, including drafting/reviewing and negotiating financing documents (commitment papers, credit agreements, notes/indentures, guarantees, and security documents) and coordinating with capital markets counsel, lenders, underwriters, and internal treasury/finance teams.
  • Drive legal and regulatory workstreams (including antitrust/HSR, sanctions, anti-corruption, and other applicable requirements) and develop practical risk-mitigation plans to support deal timelines.
  • Draft, negotiate, and coordinate transaction documentation (LOIs, purchase/sale agreements, disclosure schedules, ancillary agreements, and closing deliverables).
  • Monitor legal developments, industry trends, and regulatory changes impacting M&A and corporate transactions and translate them into actionable guidance.
  • Support post-closing integration, including governance setup, contract transition, policy alignment, and remediation of identified legal/compliance gaps.


Minimum Requirements

  • 3-5 years of relevant legal experience in M&A, corporate transactions, finance/banking, or a related practice area.
  • Combination of large law firm and some in-house experience strongly preferred.
  • Active license in good standing to practice law in a U.S. jurisdiction; ability to obtain admission in Texas (or a Texas in-house counsel/limited license, as applicable).
  • Demonstrated expertise drafting and negotiating complex transaction agreements and managing risk allocation.
  • Experience reviewing and negotiating financing and capital markets documentation and working effectively with capital markets counsel and financial counterparties.
  • Excellent written and verbal communication skills, with executive presence and strong stakeholder management.
  • Sound judgment and a pragmatic, solutions-oriented approach; ability to balance legal risk with commercial objectives.
  • Proven ability to manage multiple deals and priorities simultaneously in a fast-paced environment, with strong project-management discipline.
  • High integrity, strong sense of ownership, and commitment to continuous improvement and teamwork.


Education

Juris Doctor (J.D.) degree from an accredited law school.
